My Personal Analysis: Atlas Consolidated Mining & Development Corpoation(AT)


Last Friday Atlas Consolidated Mining & Development Corporation(AT) made a voluntary suspension of its shares trading in the stock market.

Atlas is one of the companies under the Ramos Group of the well known National Bookstore chain and Anglo Philippine Holdings. The said voluntary suspension was in connection to the reported buy out of their Singaporean partner in the Carmen Copper Corporation in Toledo City(click here for more on this). The deal is said to be at $390 million of which AT will finance through additional shares and borrowings.


The share price of AT surged and closed on Thursday at Php 20.00; a 5.37% rise from Wednesday's close at Php 19.24. The suspension will last up to Monday, June 27, after the company's Board meeting regarding the structure of the said capital raising for the purchase.

Carmen Copper Corporation, a subsidiary of Atlas, has contributed much of the company's 52% increase of first quarter revenue as compared to the same period last year. Such has caught attention of most investors and the news on its buyout of its Singaporean partners to Carmen Copper even drove the price of the stock last Thursday. 



Below is a graph of AT's price surge:


Though a typical mining company with high Debt to Equity ratio due to massive capital expenditure and a deficit due to some years of non-productivity, this new event might be a possible turn arround for AT. If such Carmen Copper site will have a better than expected production and shipments of copper to their primary customers in China and Korea will be continues, price share of AT may even go further up. The suspension will be lifted up on Monday and we will see on Tuesday if such news of buyout will further make AT's price higher.

Again fundamentally, AT have a not so good looking Current ratio and Debt to Equity due to its line of business. Technically it is about to enter overbought levels marked by its sudden price surged. If the price trend breaks out further up those who were able to get AT at Php 18.00 level will be lucky when they are able to sell such at Php 22.00 in the short term.

Some tools that might be of use to you

Currently there are two tools I have placed in my TOOLS tab above. One is an Excel file I created to aid the computation of  TP or Target Price if you want to achieve a certain percentage of gain or profit(this is based on COL and FMS rates only). The other is a paid service that sends you the combined analysis of most stock analyst and aligning fundamental and technical analysis.

The Stock Computation Tool (click here to download)

This Excel file is designed to generate an estimated target selling price. All you need is to plug in the number of shares purchased, its cost and the desired gain when selling. The rates for the different charges are based on the rates applied by most online stockbroker participating in the Philippine Stock Exchange. 




This tool is a service provided by APF Trading. The latest analysis is emailed to you for your decision making whether to buy or sell a stock. Its main feature is the alignment of both fundamental and technical analysis, when these two align a "YES" note is at the end to signify that such criteria is met.

Stock Investing is like driving


So many people are still confuse or have many question about investing in the stock market. I know it's a mind boggling activity and a very serious vehicle or means of investing in a sense that you could be a millionaire or broke in just a second.... only if you don't know what you are doing.

The key to a successful or profitable stock investing is really knowing what you are doing. That is why it is said to be one of the secrets of the affluent or the rich one because of the lower tax rate(in the Philippines stock transaction tax is 1/2 of 1% of every sale. I heard about a new law being discuss but have no details yet) and two because you are only placing idle funds(remember only idle funds) which could earn higher to fight inflation.

Now why did I say it is like driving?
I am just a newbie driver. I learned  to drive because I have to drive. Because here in Guam public transport is not famous. Yes there are buses but they come every after hour and it is not fast. There are taxis but the cost is not affordable. Driving is still better and it will get you to your destination sooner.

Stock investing is like driving because like stock investing in order to be good at it you must learn it and really focus on it or else you gonna get into an accident. You don't just drive a car and go into a high way. You need a driver's license and you must have the will to drive(for those not driving you will feel this "will" I speak of when you get to drive a car... if it is your first time you might have thoughts that you can't drive because that fear of getting hit or hitting other cars is always in your mind).

You need focus when driving and it also applies to stock investing. Focus on what you are investing on. You have to learn about the company you want to invest, learn its growth potential, and make a strategy on how to increase your holdings on such stock. The thing is when you make an investment and then suddenly the price drop our tendency is to sell it and get another(for first time investors you will go through this just like what I did). If you invested in a sound company with a proven growth and a stable financials it is still possible that its price will drop(look at TEL today). But when a strong company's price drop don't just go to panic mode and sell it, you have to learn why it is going down.  When its operations is good and yet the price went down then it could be that the market or investors' appetite for it slowed down thus the price is stagnant or gradually goes down. On such occasion it is the best time to cost average.



In driving you have 3 mirrors to guide you but always remember to look at what is in front of you or else you will surely hit somebody. Same thing in investing. You have to look what is in front of you, if you need to you can look at your side mirrors and rear mirror if you need to make a turn or change lanes. In investing you must have one direction and that is to earn. There are times that you will be caught in traffic and thus you need to change lane or take a turn. On those instances you use your mirrors to make a safe turn but you are still going to the intended destination.

Citiseconline Platform 2: Off-hour ordering


I have decided to show the Off-hour ordering since the usual ordering is the same as this one only that this order is placed during off hours before the pre-opening and after the run-off time as per PSE time trading hours.

Off-hour ordering allows investors who are in a different time zone to place their order in advance. Such order are queued and will be automatically placed in the system at the opening of the trading at PSE.

For our example below I have use JFC(Jollibee Food Corp.) for our Off-hour ordering:

Log in to your account and click the TRADE/PORTFOLIO tab and click OFF-HOUR ORDER


Enter the the stock you are buying or selling in the field STOCK CODE

Enter the number of shares you wanted to buy and the price you wanted to purchased the said stock. If you look at the other two boxes in the side you will noticed that quotes for the same stock is shown. On the BID ASK box you will notice that there is a size and price column. These columns indicate the number of shares being ordered or being sold with the corresponding price these investors are willing to trade.

At the same time be mindful that the bid or ask price is not limited to the listed prices in the first box. With the new trading system there could be more than three fluctuation as long as it is within the two threshold set by PSE as per the implementing rules and regulation. To know more about the Static and Dynamic threshold you can read my post here. 

You can refer to the other box for other information you need to determine at what price and quantity you can order or sell. But again such decisions entails other factors which will be discussed on other topics.

After entering desired price and quantity you can preview your order details. In the preview below you can see the details of charges and total purchased cost or proceed before continuing your order. Be sure to check the total purchased or proceed before confirming your order. Sometimes you may not have enough funds to support the purchased or your proceeds might be below your cost thus leading you to loss. 


Type in your password and click PLACE BUY ORDER(or SELL if selling) to confirm your order or CANCEL ORDER to cancel which will bring you back to the order section and make revision.

After approving your order the window below will pop out as a confirmation of your order.

To view your orders and still make changes you can go to the OFF-HOURS VIEW/CANCEL(for regular ordering you can go to the VIEW/MODIFY ORDER)

Investing word of the day: Dividend


A friend in an online forum posted a question regarding dividend and I would like to explain it further.

This is from the Philippines's Corporation Code under Batas Pambansa Bilang 68(Source: www.chanrobles.com)

Title IV: Powers of Corporations
Sec. 43. Power to declare dividends. - The board of directors of a stock corporation may declare dividends out of the unrestricted retained earnings which shall be payable in cash, in property, or in stock to all stockholders on the basis of outstanding stock held by them: Provided, That any cash dividends due on delinquent stock shall first be applied to the unpaid balance on the subscription plus costs and expenses, while stock dividends shall be withheld from the delinquent stockholder until his unpaid subscription is fully paid: Provided, further, That no stock dividend shall be issued without the approval of stockholders representing not less than two-thirds (2/3) of the outstanding capital stock at a regular or special meeting duly called for the purpose. (16a)
Stock corporations are prohibited from retaining surplus profits in excess of one hundred (100%) percent of their paid-in capital stock, except: (1) when justified by definite corporate expansion projects or programs approved by the board of directors; or (2) when the corporation is prohibited under any loan agreement with any financial institution or creditor, whether local or foreign, from declaring dividends without its/his consent, and such consent has not yet been secured; or (3) when it can be clearly shown that such retention is necessary under special circumstances obtaining in the corporation, such as when there is need for special reserve for probable contingencies. (n) 


In stock investing once a stock is traded in the stock market the company itself does have any power to control such that is why any stock has a market value. A stock's market value is dictated by how any sane investor values a company's stock and how willing one is to buy at such price. 

One might notice the likes of TEL(Philippine Long Distance Telecommunications) which has a par value of Php 5.00 but a market price of Php 2,736.00.

Now what is a dividend then?

Though the company has no control on the price of issued stocks, one of the reasons why me and you buy stocks of such company is that we will profit from it. A company as stated in the Corporate law above has the power to declare dividends out of its unrestricted retained earnings. As an investor we look forward on returns from the company which we received in the form of dividends. 

So besides from the possible gain from price appreciation of a stock, me and you can hold onto the stock and wait for the company's dividends. 

The question now are the following:
1. How much is the dividend an in what form?
2. Who approves a company's dividend?
3. How often is the dividend?
4. How come some companies don't declare dividends?

Question number one:How much is the dividend an in what form?

As stated in the Corporate Law  a company can declare dividends up to its unrestricted retained earnings. What is "unrestricted retained earnings" you ask? If you have been browsing the PSE website and have downloaded any company's 17Q report you can check in the Equity section a caption entitled Retained Earnings. In simple terms it is the net income of the company accumulated over the years of its operations. The company can declare a cash dividend, a property dividend, or a stock dividend.


Question number two: Who approves a company's dividend?

The board of directors of the company approves the dividend declaration. In the case of a stock dividend a vote not less than 2/3 of outstanding capital stock is required to ratify such decision. The effect of stock dividend is only to increase the number of shares held by the shareholder but in the company's books only a transfer from Retained Earnings to the Capital stock occurred thus the market capitalization of the company remains the same. What one can gain from stocks arising from stock dividend is when such is sold in the new market price because it is as if you profited 100% from it.

Question number three:How often is the dividend?

Dividends are base on company's performance. If the company has performed well they can declare dividends and when not well there is a likelihood  that there will be no dividend. But remember what the Corporation law mentioned that is a company can declare dividends out of unrestricted Retained earnings. A company might suffered a loss in its operation  this year but if such has a positive retained earnings then the company can still declare dividends. Most companies declare once a year and some generous ones give 2 to 4 times a year

Question number four: How come some companies don't declare dividends?

Some companies don't declare dividends for the following reasons as stated in the corporate law:
1. When justified by definite corporate expansion projects or 
    programs approved by the board of directors
2.When the corporation is prohibited under any loan 
   agreement with any financial institution or creditor, 
  whether local or foreign, from declaring dividends without 
  its/his consent, and such consent has not yet been secured
3. When it can be clearly shown that such retention is 
   necessary under special circumstances obtaining in the 
  corporation, such as when there is need for special reserve 
  for probable contingencies.

Title IV: Powers of Corporations
Sec. 43. Power to declare dividends. - The board of directors of a stock corporation may declare dividends out of the unrestricted retained earnings which shall be payable in cash, in property, or in stock to all stockholders on the basis of outstanding stock held by them: Provided, That any cash dividends due on delinquent stock shall first be applied to the unpaid balance on the subscription plus costs and expenses, while stock dividends shall be withheld from the delinquent stockholder until his unpaid subscription is fully paid: Provided, further, That no stock dividend shall be issued without the approval of stockholders representing not less than two-thirds (2/3) of the outstanding capital stock at a regular or special meeting duly called for the purpose. (16a)
Stock corporations are prohibited from retaining surplus profits in excess of one hundred (100%) percent of their paid-in capital stock, except: (1) when justified by definite corporate expansion projects or programs approved by the board of directors; or (2) when the corporation is prohibited under any loan agreement with any financial institution or creditor, whether local or foreign, from declaring dividends without its/his consent, and such consent has not yet been secured; or (3) when it can be clearly shown that such retention is necessary under special circumstances obtaining in the corporation, such as when there is need for special reserve for probable contingencies. (n) 


In stock investing once a stock is traded in the stock market the company itself does have any power to control such that is why any stock has a market value. A stock's market value is dictated by how any sane investor values a company's stock and how willing one is to buy at such price. 

One might notice the likes of TEL(Philippine Long Distance Telecommunications) which has a par value of Php 5.00 but a market price of Php 2,736.00.

Now what is a dividend then?

Though the company has no control on the price of issued stocks, one of the reasons why me and you buy stocks of such company is that we will profit from it. A company as stated in the Corporate law above has the power to declare dividends out of its unrestricted retained earnings. As an investor we look forward on returns from the company which we received in the form of dividends. 

So besides from the possible gain from price appreciation of a stock, me and you can hold onto the stock and wait for the company's dividends. 

The question now are the following:
1. How much is the dividend an in what form?
2. Who approves a company's dividend?
3. How often is the dividend?
4. How come some companies don't declare dividends?

Question number one:How much is the dividend an in what form?

As stated in the Corporate Law  a company can declare dividends up to its unrestricted retained earnings. What is "unrestricted retained earnings" you ask? If you have been browsing the PSE website and have downloaded any company's 17Q report you can check in the Equity section a caption entitled Retained Earnings. In simple terms it is the net income of the company accumulated over the years of its operations. The company can declare a cash dividend, a property dividend, or a stock dividend.


Question number two: Who approves a company's dividend?

The board of directors of the company approves the dividend declaration. In the case of a stock dividend a vote not less than 2/3 of outstanding capital stock is required to ratify such decision. The effect of stock dividend is only to increase the number of shares held by the shareholder but in the company's books only a transfer from Retained Earnings to the Capital stock occurred thus the market capitalization of the company remains the same. What one can gain from stocks arising from stock dividend is when such is sold in the new market price because it is as if you profited 100% from it.

Question number three:How often is the dividend?

Dividends are base on company's performance. If the company has performed well they can declare dividends and when not well there is a likelihood  that there will be no dividend. But remember what the Corporation law mentioned that is a company can declare dividends out of unrestricted Retained earnings. A company might suffered a loss in its operation  this year but if such has a positive retained earnings then the company can still declare dividends. Most companies declare once a year and some generous ones give 2 to 4 times a year

Question number four: How come some companies don't declare dividends?

Some companies don't declare dividends for the following reasons as stated in the corporate law:
1. When justified by definite corporate expansion projects or 
    programs approved by the board of directors
2.When the corporation is prohibited under any loan 
   agreement with any financial institution or creditor, 
  whether local or foreign, from declaring dividends without 
  its/his consent, and such consent has not yet been secured
3. When it can be clearly shown that such retention is 
   necessary under special circumstances obtaining in the 
  corporation, such as when there is need for special reserve 
  for probable contingencies.
